Terms & Conditions, Notice of Cancellation Form, State Documents

Customer AGREEMENT GENERAL TERMS – APPLIES TO ALL PROJECTS:

For purposes of this Agreement, “you” and “Customer” refer to the person or persons entering into this Agreement with Coventry Hills Pro. “We,” “us,” “our,” “CHP,” and “Contractor” refer to Coventry Hills Pro and, where applicable, its employees, workers, installers, subcontractors, and other authorized persons performing work under this Agreement.

WORK COMMENCING: Customer shall pay a deposit, typically between 20% and 50% of the quoted price, prior to scheduling or commencement of work. The required deposit may be increased, or additional deposits required, when necessary to cover materials, special-order items, equipment, reserved labor, or other project costs. Additional progress deposits may also be required depending on the size, duration, or nature of the project. Customer must sign a written or electronic acceptance of the Agreement before work begins.

ESTIMATE REVISIONS & AGREED SCOPE: Estimates and proposals may be revised before work begins as selections, conditions, pricing, or the requested scope of work change. The most recently accepted written estimate or proposal supersedes prior versions with respect to the work, quantities, selections, and pricing addressed in the revised estimate. CHP is responsible only for work, pricing, specifications, warranties, promises, or other terms contained in the accepted signed Agreement. Verbal discussions, preliminary estimates, prior versions, assumptions, or statements not included in the final accepted documents do not modify the Agreement. Estimates are valid for 30 days unless otherwise stated. CHP reserves the right to revise or withdraw an estimate at any time prior to acceptance due to changes in material or labor costs, availability, scheduling, site conditions, unforeseen circumstances, errors or omissions, or other business considerations.

CHANGES TO SCOPE & ADDITIONAL WORK: The Agreement price is based on the work specifically described in the accepted estimate. Any addition, deletion, substitution, modification, repair, or other change requested by the Customer may result in an adjustment to the price, schedule, or both.Customer-requested additional work may be authorized verbally, electronically, or in writing and, once authorized and performed or committed to by CHP, shall be the Customer’s responsibility for payment. For smaller additions, repairs, or incidental work, CHP may, with the Customer’s approval, perform the work on a time-and-materials basis at $100.00 per hour, per worker, plus materials and any applicable delivery, disposal, equipment, or subcontractor charges. This rate applies only to additional work not included in the original project price. For larger additions or changes, CHP may instead provide a separate project price. The pricing method and additional work will be discussed with the Customer before the additional work proceeds.CHP does not guarantee that a requested change, additional work item, price, completion date, material selection, or other modification has become part of the Agreement unless CHP confirms it in writing. Additional time required to review, estimate, coordinate, order materials for, or revise Customer-requested changes may also be charged to the Customer.

PAYMENTS & INVOICES: Customer agrees to pay all invoices issued by CHP for work included in the accepted Agreement and for additional work, changes, materials, services, or charges authorized. All invoices are due by the due date stated on the invoice. Failure to make payment when due permits CHP to suspend work on the project, or other work being performed for the Customer, without liability for resulting delay or damages. All quoted prices include a 5% discount for payment by cash or check. Payments made by credit card, debit card, or financing are not eligible for this discount, and 5% will be added back to the applicable amount. Customer is responsible for applicable payment-processing fees. Fees associated with online payments are non-refundable.

SCHEDULING, WEATHER & UNFORESEEN CIRCUMSTANCES: The signed Agreement and required deposit must be received before work is scheduled or commenced. The date these items are received may affect scheduling and anticipated start dates.Any start date, completion date, project duration, or arrival window provided by CHP is approximate. CHP shall not be responsible for delays caused by weather, unsuitable site conditions, hidden or unforeseen conditions, material shortages or delivery delays, labor availability, prior jobs, changes requested by the Customer, other contractors or suppliers, permit issues, emergencies, governmental actions, or other circumstances beyond CHP’s reasonable control.CHP shall not be responsible for additional costs, expenses, damages, loss of use, lost income, temporary accommodations, storage costs, scheduling conflicts, or other losses incurred by the Customer or any other person as a result of such delays. If the cost or availability of materials changes materially after the Agreement is accepted due to market conditions, tariffs, shortages, supplier increases, discontinued products, or other circumstances beyond CHP’s reasonable control, CHP reserves the right to propose a reasonable adjustment to the material cost before purchasing or installing the affected materials. Any such adjustment will be communicated to the Customer before proceeding with the affected portion of the work.Lockboxes or other access arrangements may be used when agreed upon in advance.

WARRANTIES: Any warranty applicable to materials, parts, products, or equipment is provided solely by the applicable manufacturer or supplier and is subject to that manufacturer’s or supplier’s terms, conditions, limitations, and claim procedures. CHP does not independently warrant materials, parts, products, or equipment manufactured or supplied by others. No warranty shall apply until all amounts owed to CHP for the project have been paid in full.

INSURANCE: CHP shall maintain applicable general liability insurance and any licenses or registrations required for the work being performed. A certificate of liability insurance may be provided upon request.

ACCESS: Customer shall provide CHP, its employees, subcontractors, suppliers, and other authorized persons with reasonable and unhindered access to the work site at the scheduled time and as otherwise reasonably necessary to perform the work, deliver or remove materials, tools, equipment, and debris, and complete the project. This includes providing unlocked entry, keys, codes, parking access, driveway access, and other necessary instructions or arrangements.  This may require multiple entries onto the property throughout the project and access to deliver, store, move, or remove materials, tools, and equipment.
The Agreement price assumes normal and suitable access for the personnel, materials, tools, and equipment required to perform the quoted work. Restricted or inadequate access that requires additional labor, equipment, coordination, mobilization, or time may result in additional charges.

REVIEW: The Customer is responsible for reviewing and approving all materials, colors, finishes, room areas, locations, and work to be performed before work begins. It is the Customer’s responsibility to verify that all selected products, colors, finishes, and locations are correct. Product samples are representative only and may vary from the final installed or applied appearance.

FINISH APPEARANCE AND ADDITIONAL REPAIRS: Any additional work, carpentry, repair, modification, correction, or rework not specifically included in the accepted estimate shall be treated as additional work under the Changes to Scope & Additional Work provisions of this Agreement. Unless otherwise agreed, additional work will be billed on a time-and-materials basis at $100.00 per hour, per worker, plus materials and any applicable delivery, disposal, equipment, or subcontractor charges. The Customer acknowledges that existing materials, substrates, surfaces, prior damage, including dents, dings, gouges, chips, scratches, cracks, holes, deterioration, missing parts, prior repairs, wear, age, and other pre-existing conditions may affect the final appearance and results of the work. Such conditions are not considered minor repairs unless specifically included in the scope.Variations in color, shade, grain, texture, veining, knots, sheen, finish, and natural character due to the condition of the existing property are normal and are not defects in workmanship. Lighting conditions, viewing angles, shadows, surface texture, existing wood grain, and the Customer’s color, sheen, finish, or material selections may also affect appearance.Changes from previous colors, finishes, sheens, or materials may make grain, repairs, imperfections, shadows, or other surface variations more noticeable. Any additional repairs should be identified and addressed before work begins whenever reasonably possible to avoid added costs associated with modifying or redoing completed work.

AUTHORIZATION: The Customer authorizes CHP to rely on approvals, instructions, selections, additional-work requests, and change requests provided by the Customer or by a spouse, family member, property occupant, representative, or other person reasonably believed by CHP to be acting with the Customer’s authority. Such authorization may be verbal, electronic, or written and may result in additional charges to the Customer. Authorization by such a person shall be treated as authorization by the Customer unless the Customer has previously notified CHP in writing that the person is not authorized to make decisions concerning the project.

PERMITS / HOA: Unless otherwise specifically stated in the Agreement, the Customer is responsible for obtaining and maintaining any required permits, HOA or condominium approvals, parking arrangements, elevator reservations, access permissions, or other property or community approvals necessary for the work. The Customer is responsible for providing any required approvals, permits, or access arrangements before the scheduled start date. Delays, additional trips, rescheduling, or other costs resulting from missing, incomplete, expired, or denied approvals or access arrangements may be treated as Customer-caused delays and may result in additional charges.

WATER, ELECTRICITY & CLIMATE CONTROL: The Customer is responsible for ensuring that all utilities reasonably required for the work are operational, adequate, and accessible during the project, including electrical service, water, and appropriate heating or climate control where necessary for proper application, drying, curing, or operation of equipment.Sanding, refinishing, or other equipment-intensive work may require adequate 220V power. The Customer is responsible for existing electrical issues, breaker panels, overloaded circuits, tripped breakers, insufficient electrical capacity, and related electrical problems. If adequate power is not available, CHP may arrange an alternative power source at an additional charge.Where power washing or other water-dependent work is required, the Customer must provide a functioning and reasonably accessible water supply. The Customer must notify CHP in advance if adequate water will not be available. If CHP must supply, transport, or arrange for water, all related labor, equipment, delivery, and water costs will be billed as an additional charge.

DRYING / CURING: Proper drying and curing time must be allowed for all applicable paints, stains, sealers, caulks, patches, adhesives, coatings, and other materials. Drying and curing times may vary based on temperature, humidity, ventilation, product type, surface conditions, and application thickness. The Customer is responsible for protecting completed surfaces during the drying and curing period and for avoiding cleaning, washing, covering, touching, leaning on, exposing to moisture, or otherwise disturbing those surfaces until sufficiently dry or cured.Damage or repair required because of premature use, contact, cleaning, moisture exposure, or disturbance during the drying or curing period is not considered a defect in workmanship and may be treated as additional work under the Changes to Scope & Additional Work provisions of this Agreement.

FURNITURE & PERSONAL ITEMS: Furniture moving by CHP must be agreed to in advance. The Customer is responsible for removing personal items, valuables, electronics, breakables, wall décor, small furniture, closet contents, and other belongings from the work area before work begins. Tops of desks, bureaus, cabinets, and similar surfaces must be cleared.CHP does not move fish tanks, pianos, safes, antiques, heirlooms, or other fragile, unusually heavy, or oversized items unless specifically agreed in writing. The Customer is responsible for any required disassembly or reassembly of furniture unless otherwise agreed.Painting, sanding, demolition, and other construction activities may involve dust, paint drips, splatter, debris, scuffs, scratches or similar incidental contact within or adjacent to the work area. The Customer is responsible for removing or identifying items requiring special protection before work begins. CHP will take reasonable precautions to protect furniture and property remaining in the work area but cannot guarantee that areas containing Customer belongings will remain completely free from incidental effects of the work or movement.CHP is not responsible for damage resulting from pre-existing weakness, deterioration, improper assembly, shifting, leveling, disassembly, or reassembly of furniture or personal property.

APPLIANCES & CONNECTIONS: Appliances and associated gas, water, drain, refrigerator water, electrical, venting, plumbing, toilet, or similar connections are the Customer’s responsibility unless specifically included in the Agreement.Unless otherwise agreed in writing, CHP is not responsible for disconnecting, reconnecting, moving, testing, or servicing appliances, gas lines, refrigerator water lines, toilets, plumbing fixtures, water lines, or similar systems.CHP is not responsible for leaks, plumbing failures, gas issues, appliance malfunctions, electrical problems, code violations, or other conditions that existed before the work or that arise from systems, connections, or equipment outside CHP’s contracted scope.

DEMOLITION: Demolition, removal, sanding, refinishing, and installation are construction activities and may cause minor cosmetic impact to adjacent areas, including scuffs, scratches, dents, trim marks, chipped paint, drywall disturbance, perimeter marks, finish transfer, or similar conditions that can reasonably occur during the work. Such incidental cosmetic effects resulting from the normal performance of demolition, removal, installation, sanding, or refinishing are not considered damage or workmanship defects.Any concealed, pre-existing, or otherwise unseen damage or condition discovered during demolition or removal will be evaluated when found and may require additional labor, materials, repairs, or changes to the scope, price, or schedule before the affected work proceeds.Demolition or removal may also expose or make existing conditions more visible, including nail pops, cracks, surface irregularities, prior repairs, structural movement, or concealed damage. Such conditions are not considered defects in CHP’s workmanship unless directly caused by improper performance of the contracted work.Repair, touch-up painting, caulking, drywall repair, trim repair, sanding, nail-pop repair, or other finish work to areas not specifically included in the accepted scope is not included in the Agreement and, if requested, will be treated as additional work under the Changes to Scope & Additional Work provisions of this Agreement.

INCOMPLETE DEMO / PREP: Any demolition, preparation, cleanup, or other work that was to be completed by the Customer or another party but remains incomplete at the time CHP is scheduled to begin may be completed by CHP when reasonably necessary to proceed with the work. This may include removal of staples, tack strips, adhesive residue, debris, incomplete patching, or other unfinished preparation. Any such work will be treated as additional work under the Changes to Scope & Additional Work provisions of this Agreement and may affect the project schedule.

UNFORESEEN & HAZARDOUS CONDITIONS: Certain conditions may not be reasonably identifiable until existing materials are removed or work is underway. If concealed, unforeseen, or potentially hazardous conditions are discovered or suspected, including material or surface damage, moisture, mold, mildew, asbestos, rot, cracks, structural movement or defects, unsafe structural conditions, improper prior work, or other conditions affecting the proper or safe completion of the work, CHP will notify the Customer when reasonably practicable.Additional preparation, testing, remediation, repair, correction, materials, equipment, or other work required because of such conditions is not included in the Agreement unless specifically stated and may result in additional cost and time.  Additional preparation may include leveling, fastening, moisture barriers, floor or substrate preparation, or other corrective work identified as the work progresses.CHP may suspend or modify the affected portion of the work until the condition has been properly evaluated, corrected, or otherwise addressed and any necessary additional work has been authorized.

MOVEMENT: Building materials naturally expand, contract, settle, shift, and move over time. The Customer is responsible for structural, framing, foundation, substrate, and building-movement conditions that may affect the work. CHP is not responsible for correcting structural movement or settling unless specifically included in the Agreement. CHP is also not responsible for problems caused by environmental changes or conditions outside applicable manufacturer requirements.

MOISTURE: The Customer is responsible for identifying and correcting ongoing sources of moisture, humidity, leaks, drainage problems, water intrusion, or other environmental conditions affecting the property. Site conditions must remain reasonably suitable for the materials and work being performed and, where applicable, within manufacturer requirements.CHP may identify or advise the Customer of visible moisture-related concerns encountered during the work, but CHP does not guarantee that all moisture conditions, leaks, or sources of water intrusion will be identified or corrected unless such investigation or repair is specifically included in the Agreement.  Products advertised as waterproof or water-resistant can still be affected by moisture, particularly moisture coming from below. CHP is not responsible for cupping, buckling, gapping, lifting, warping, adhesive failure, mold, mildew, or similar material or product failure resulting from moisture, humidity, leaks, subfloor conditions, drainage, water intrusion, or environmental conditions outside applicable manufacturer requirements.

DUST / CLEANING: Dust, paint chips, sanding residue, and construction debris are normal byproducts of demolition, installation, sanding, refinishing, and similar work. CHP will make reasonable efforts to control dust and debris but does not guarantee that any work area or adjacent area will remain dust-free or debris-free.The Customer is responsible for removing or protecting personal items and any areas or belongings requiring special protection. HVAC vents, air conditioning, or other systems need to be shut off, covered, or otherwise protected.General post-construction cleaning, detailed interior cleaning, and removal of residual dust from areas outside the contracted work are not included unless specifically stated in the Agreement and may be provided as additional work.

TRASH REMOVAL: Removal and disposal of demolition debris, old materials, packaging, or other jobsite waste is not included unless specifically stated in the Agreement. If requested or reasonably necessary, disposal may be treated as additional work under the Changes to Scope & Additional Work provisions of this Agreement.

DELAYS, INTERFERENCE & EXCESSIVE ON-SITE TIME: The Customer is responsible for timely access to the property and for providing required utilities, approvals, selections, Customer-supplied materials or items, and other conditions reasonably necessary for CHP to perform the work. The Customer shall not unreasonably delay, interrupt, or interfere with the work. Additional time or costs resulting from restricted access, unavailable utilities, failure to make timely selections or approvals, repeated reconsideration of previously approved decisions, Customer-requested interruptions, unavailable Customer-supplied materials, or interference, delays, or changes caused by the Customer, the Customer’s family members, property owner, occupants, guests, representatives, other contractors, subcontractors, tradespeople, suppliers, or other third parties at the property may be charged to the Customer when such conditions affect CHP’s work or schedule. If CHP or its subcontractors are delayed, prevented from working, required to wait, required to remobilize, or required to make an additional trip because of such conditions, the Customer may be charged for reasonable labor, standby time, supervision, travel, mobilization, equipment, subcontractor costs, and other costs incurred as a result. Such delays may also extend anticipated start or completion dates. This includes excessive interruptions, repeated discussions, reconsideration of previously approved decisions, and disputes unrelated to CHP’s scope that delay or interfere with scheduled work.

WASTE / EXTRA MATERIAL: Project estimates may include reasonable material overage for cuts, pattern matching, breakage, waste, touch-ups, and proper installation. The existence of unused or leftover material does not necessarily indicate that the project was overestimated or that a credit is due. When appropriate, usable leftover material purchased for the project may be left with the Customer for future repairs or touch-ups. The Customer is encouraged to retain such material because exact future matches may not be available due to dye lot, shade lot, finish lot, batch, product, or manufacturer changes. Special-order, custom, cut, mixed, tinted, or otherwise project-specific materials may be non-returnable and subject to the applicable supplier or manufacturer return policies.

CUSTOMER CONCERNS REGARDING WORKERS OR SUBCONTRACTORS: CHP expects its workers and subcontractors to conduct themselves professionally while on the property. The Customer shall promptly notify CHP of any concern regarding the conduct, communication, behavior, safety, or performance of any worker or subcontractor so CHP has a reasonable opportunity to address the matter.CHP may investigate the concern, provide direction, reassign personnel, or remove a worker or subcontractor when reasonably appropriate.Personality differences, disagreements, statements, opinions, or other interactions that do not materially affect the quality, safety, or performance of the work do not, by themselves, constitute a breach of the Agreement or relieve the Customer of payment obligations.

CARE & MAINTENANCE: The Customer is responsible for following all manufacturer care, maintenance, environmental, and use requirements applicable to the materials, products, parts, or equipment installed or supplied for the project. Failure to follow applicable manufacturer requirements may affect or void available warranty coverage.Manufacturer care instructions and warranty information may be provided upon request when available. CHP does not administer or facilitate warranty claims for Customer-supplied or cash-and-carry materials.

LABOR WARRANTY: CHP warrants its workmanship for 6 months from the date of completion unless a different warranty period is specifically stated in writing. The warranty applies only to workmanship for the original installation and original Customer. If the Customer declines recommended preparation, repairs for existing defects or damage, moisture-related work, or other corrective work identified before or during the project, any warranty related to those conditions is void.No oral statement or promise by any salesperson, Contractor, subcontractor, worker, or representative shall modify this warranty or Agreement unless confirmed in writing by CHP.The warranty does not guarantee exact color, sheen, or texture matching, invisible patches or repairs, or the performance of existing surfaces, substrates, prior coatings, or materials supplied by others.Painting, coatings, priming, patching, caulking, and related services are not substitutes for proper moisture mitigation, waterproofing, flashing, sealant maintenance, drainage correction, building-envelope repair, or correction of leaks or water-intrusion sources. Unless expressly stated in writing, CHP does not guarantee that such work will stop, prevent, or correct moisture intrusion, drainage problems, or related substrate failure. The warranty does not cover peeling, cracking, bubbling, flashing, adhesion failure, deterioration, or other damage caused by moisture, leaks, water intrusion, weather, storms, extreme temperatures, structural movement, settling, prior coatings, substrate failure, environmental conditions, normal wear and tear, improper maintenance, pre-existing conditions or defects, misuse, impact, alteration, modification, nature, pets, occupants, the Customer, other contractors or tradespeople, third parties, or work performed by others. For subcontracted services, CHP’s workmanship warranty shall not exceed the scope, duration, or remedy of the workmanship warranty provided by the subcontractor performing that portion of the work.If warranty service applies, CHP’s remedy is limited to repair or correction of the specific affected portion of the work. Warranty coverage does not include full-area repair or repainting, upgrades, replacement of unaffected or unrelated areas, or incidental, consequential, secondary, indirect, or loss-of-use damages.

FINAL WALK THRU: Upon completion of the work, the Customer will be offered one final walkthrough to review the completed work and identify any concerns or touch-ups related to the contracted scope. The Customer may designate an authorized representative to attend in the Customer’s place, and that walkthrough will be treated as the Customer’s final walkthrough. If the Customer declines the offered walkthrough, fails to attend, or later requests an additional walkthrough, return visit, inspection, or service that is not required to correct a covered workmanship issue, the additional time, travel, labor, materials, or services may be billed as additional work.

DEPOSITS: Deposits become non-refundable after the Customer’s three-business-day cancellation period has expired. Deposits are intended to secure the project schedule and cover administrative and scheduling costs, project preparation, reserved labor and calendar time, material procurement or commitments, mobilization and planning expenses, and reasonable losses resulting from cancellation, rescheduling, or work declined or deferred in reliance on the Customer’s scheduled project.

CANCELLATION / RESCHEDULING / RETURNS: Requests to cancel or reschedule after the applicable cancellation period has expired will make the Customer responsible for costs already incurred or committed in reliance on the scheduled project, including materials, special-order items, reserved labor, scheduling, mobilization, administrative time, supplier charges, and other non-recoverable costs.Requests to reschedule less than 48 hours before the scheduled start date may also be subject to a $250 rescheduling fee.Materials that are special order, custom, cut, mixed, tinted, processed, or otherwise purchased specifically for the project may be non-returnable. If a supplier or manufacturer accepts a return, any refund or credit is subject to the supplier’s or manufacturer’s return policy, restocking fees, freight charges, condition requirements, and other applicable charges. Returns, if accepted, must be received by CHP within 10 days, unopened, undamaged, in original packaging, and resaleable. No return or credit is guaranteed unless CHP actually receives the corresponding refund or credit from the supplier or manufacturer.

LIABILITY: To the extent permitted by law, CHP’s liability for any claim arising out of or relating to the project shall be limited to the amount paid by the Customer to CHP for the specific portion of the work giving rise to the claim, rather than the total Contract Price.CHP shall not be responsible for incidental, consequential, secondary, indirect, or loss-of-use damages, or for loss or damage resulting from conditions outside CHP’s reasonable control. This limitation does not apply to liability that cannot legally be limited or excluded.

NONPAYMENT, COLLECTION & DISPUTE RESOLUTION: Any payment not received within 10 days of its due date shall be subject to interest at the rate of 1% per month (12% annually) on the unpaid balance, or the maximum rate permitted by law. Interest shall continue to accrue until the outstanding balance is paid in full. The Customer shall be responsible for all reasonable costs incurred by the Contractor in collecting any unpaid amounts due under this Agreement or for approved additional work, including applicable interest, administrative and collection costs, court costs, and reasonable attorney’s fees, to the extent permitted by law. Except for actions by the Contractor to collect amounts due, enforce mechanic’s lien or other payment rights, seek temporary injunctive relief, or confirm or enforce an arbitration award, any dispute, controversy, or claim arising out of or relating to this Agreement or the work shall be submitted to final and binding arbitration. Judgment on any arbitration award may be entered and enforced by any court having jurisdiction.
